Insider Report for Estates

An insider report is only required to be filed by the estate where the estate holds securities carrying more than 10% of the voting rights attached to securities of a reporting issuer or one or more of the executors (representatives of the estate) is a reporting insider of the issuer in another capacity.
Where an estate holds securities carrying more than 10% of the voting rights attached to securities of a reporting issuer and the estate has two or more executors, it will generally only be necessary for one executor to file insider reports about transactions by the estate in securities of the issuer.
