Insider Report for Special Warrants

Definition

A special warrant gives the holder the right to acquire another class of securities.

Filing Process for Special Warrants

You report holdings and transactions in the same manner as you would other types of warrants with the following exceptions:

  • The number of securities reported is the number of special warrants
  • The special warrants are reported as a separate class of security and are not aggregated with other warrants
  • The nature of the ownership would depend on the circumstances
  • Select the appropriate security designation with the specified underlying security designation
  • Report the equivalent number of underlying securities.

Instructions to File an Insider Report

Filing an insider report for special warrants is similar to filing an insider report for warrants with the exceptions noted above. Do not aggregate special warrants with other warrants.
