Ownership Types

A description of the three ownership types follow:
Type

Description

Direct
|
You can hold the securities directly. For example, you can hold the securities in an account with your broker, but the account is in your name.
|
Indirect
|
You can hold the securities indirectly. For example, you beneficially own common shares in X Co. but the registered owner is another entity such as a holding company, an RRSP or a family trust.
|
Control or Direction
|
You have control or direction over the securities if you, directly or indirectly, through any contract, arrangement, understanding or relationship or otherwise have or share
- voting power, or
- investment power.
This would include having control or direction over the securities through a power of attorney, a grant of limited trading authority, or management agreement.
For example, you set up a trust for your children in which Co. X securities are held. Because of your relationship with your minor children, you need to report your children's holdings, because you could direct your children to purchase or sell those securities. This may also be the case if your spouse (or any other person related to you) owns the securities, but you have control or direction over those securities.

Steps to amend an insider report follow:

Click Insider report in the top right navigation bar

Click Amend or Delete insider report in the left navigation bar
The Select issuer screen opens
Click the radio button beside an issuer in the list to select it
Note: To view issuer information click on the magnifying glass under Issuer Information. An information window will display. Opting to view the issuer's information will not detour you from the filing process.

Click Amend or delete insider report or View issuer reports
If

you choose to view issuer reports
|
SEDI will then display an information window that displays a list of issuer reports which have been filed since your last insider report filing, or, informs you that no issuer reports have been filed since your last filing. When finished click “Viewing completed”.
Note: It is recommended to view the issuer report, as the current list of issuer reports will not be displayed the next time you file an insider report. However, issuer reports are always accessible through the access public filings

you choose Amend or delete insider report
|
you will be taken to the View search results screen showing all transactions
|
you enter a Transaction date range and choose Amend or delete insider report
|
you narrow your search by clicking on the calendar icons to select and enter dates in the Starting on and Ending on fields. To display a different month, click on the arrow to the far left or right of the current month title. Click the down arrow to select a different month and year. Alternatively, manually enter a numeric date into the fields using the format YYYY-MM-DD (including hyphens). You will be taken to the View search results screen showing the transactions meeting your transaction date range.

The View search results screen opens
Click the radio button beside the transaction that you want to amend.
To amend a Security Designation click Amend security (see step 5)
To amend an Ownership Type and/or Registered Holder, click Amend holder (see step 6)
To amend the details of a transaction, click Amend details (see step 7)
To delete a report, click Delete Report (see How to delete an insider report)

From the View search results screen, click Amend security
The Select security designation screen opens
The system displays the current transaction information, click the radio button beside the security in the outstanding securities list about which you want to amend a report
Note: You can only amend the security designation not the security category. A security Category is one of :
- equity
- debt or
- derivatives
A security designation can be many things, as an example: common shares, trust units, limited partnership units under the equity category; options, warrants, rights under the derivatives category; and convertible debentures, notes, bonds under the debt category.
Click Next to go to the Select ownership type and registered holder screen

From the View search results screen, click Amend holder

Use the drop-down list box to specify an ownership type for the selected securities
If the ownership type is

then
|
direct (The insider holds the securities directly. For example, the insider can hold the securities in an account with a broker, but the account is in the insider’s name.)
|
select direct from the Registered Holder section and click Next
|
indirect (The insider can hold the securities indirectly. For example, the insider can beneficially own common shares in X Co. but the registered owner is another entity such as a holding company, an RRSP or a family trust.)
|
select indirect ownership then the applicable registered holder name from the list box and click Next
|
control or direction (The insider has control or direction over securities if the insider, has or shares voting power or investment power over those securities)
|
select control or direction then the applicable registered holder name from the list box and click Next
|
Note: If the desired registered holder does not appear in the list and you attempt to Add new holder, you will be advised to record an Opening Balance on Initial Report before filing this transaction. This may also occur if it is the first time you are filing for the ownership type or registered holder chosen. See Filing Opening Balance on Initial Report
Click Next to go to the Enter transaction information screen

From the View search results screen, click Amend details

Enter the amended transaction information in the report
Click Next
The Final review screen opens
Review the amended information, if further amendment is needed, select Amend security, Amend holder or Amend details to correct the appropriate information
Click Certify
The Certification dialog box opens
Click OK to Accept certification

The Amend insider report - completed screen opens
To generate a printed copy of the report, click the “Printer friendly version”. SEDI will take you to a printer-friendly page and launch your browser’s print dialog box. Use the Back button on the page (not the browser “back” button) to return to the “File insider report –Completed” page.
Note: If you wish to print this screen, do so before answering the question, as SEDI will display the requested page and the information will be lost.

Indicate whether you want to amend or delete another report:

the same issuer, click YES and return to the View search results screen, or;

different issuer, click YES and return to the Select issuer screen

do not want to amend another report
|
click No to return to the Introduction to insider report activities screen.
