The table below sets out some of the Errors or Warnings that appear on screen while filing on SEDI along with explanations and solutions.

 

Errors and Warnings

Description/Solution

SEDI is temporarily unavailable due to scheduled maintenance activities. Please try again later.

The user will see this message on the main SEDI splash page. The maintenance window for SEDI is from 3am to 5 am  Eastern Time daily and service may be unavailable during this time.

Enter a valid date

It may be that one of the date fields still shows “Select One”. If everything appears to be correct, contact the CSA Service Desk at 1-800-219-5381.

You have performed an unauthorized sequence of actions and the operation you were performing was discontinued by the system.  Please retry the operation.

Selecting the browser back button while using SEDI will cause the system to display this error.  To resume SEDI operation, select any of the functions available from the top navigation or left navigation bar (i.e., Insider report, File insider report, Amend or delete insider report, etc.)

Duplicate profile detected. Cannot continue

The insider or agent is creating an insider profile using the Create insider profile button from their home page. Data was entered on the Create insider profile (Form 55-102F1) screen and upon clicking Next, the system indicates that there appears to be an insider profile for the insider already present on the system. SEDI stops the creation process from continuing because each insider must only have one insider profile.

 

To exit the Create insider profile (Form 55-102F1) screen, use the top navigation bar to select Insider or Agent home page to return to the home page. Try adding the insider profile as follows:

 

Agent: click Agent home page, click the Add insider button, locate the insider profile using the Search for insider screen, then select the insider profile from the View search results screen which will add the insider to the insider list on the agent home page,

 

Insider: click Insider home page, click the Link your SEDI Account to your Insider Profile button, locate the insider profile using the Search for insider screen, then select the insider profile from the View search results screen which will link the insider profile to the user account.

 

Note: the user must have the applicable access key for the insider profile being linked to the agent or insider account in order for SEDI to allow access to the insider profile.

 

Alternatively, the insider or agent can also logout and select Access public filings on SEDI and select View insider information to search for insider profiles under the same name. This will provide more details from the insider’s summary information if required to determine whether a previous insider profile exists.

 

If the discrepancy cannot be resolved, contact the CSA Service Desk at 1-800-219-5381 for assistance.

Balance entered must be a valid number

The number must be a whole number. No commas or dollar signs, spaces, fractions etc.

Unit price or Exercise price and Conversion or Exercise price must be numeric

The Unit price or exercise price and Conversion or exercise price fields have a maximum of 4 characters following the decimal point. No commas, dollar signs, spaces, fractions, etc.

Cannot amend a position holding report

Cannot Amend the security or Amend registered holder or Delete transaction on an opening balance report that has insider reports for the same security and holder filed on SEDI.
You may wish to contact staff of your
local securities commission for assistance.

Cannot change the security category for the security designation

You can amend the security designation within the security category but you cannot amend the security category. Example: you can amend common shares to preferred shares because both are Equity (security category).

 

Cannot amend options to common shares because common shares are Equity (security category) and options are Derivatives (security category). In this instance the original transaction would have to be deleted and a new transaction posted. General or private remarks to the securities regulators explaining the reason for the deletion should be included

Cannot enter both Equivalent number or value of securities acquired and Equivalent number or value of securities disposed of

When filing an derivative transaction you must enter the number or value of securities acquired or disposed of and the number or value of underlying securities acquired or disposed of one below the other on the same side of the screen.
Note: An exercise of options requires two transactions: the disposition of the options due to the exercise and the acquisition of the underlying security.

Cannot select a registered holder given this ownership type

If the ownership type is “Direct” a registered holder cannot be chosen.

Enter an Opening balance of securities held

If no holdings, enter zero (0)

Enter either the Opening balance date or the Date the insider became an insider of this issuer

Enter a date in one of the fields not both.
If you were an insider prior to June 9, 2003 (paper filer) then you would put the date of your last paper filing.
If you became an insider on or after June 9, 2003 you would put the date you became an insider of the issuer.

Equivalent number or value of securities acquired and Equivalent number or value of securities disposed of must be numeric.

The number must be a whole number. No commas, dollar signs, spaces  or fractional units etc.

Select an Issuer from list

Highlight the issuer’s name by clicking the radio button located beside the Issuer name.

Issuer not found

There are two reasons an issuer may not be found:
1. The issuer may have changed its name due to a business acquisition (merger, takeover etc.) The insider will need to set up an opening balance of shares for the new issuer for each type of security held. The insider may want to include an explanation in the General remarks field.
2. The issuer has not completed an issuer profile supplement. Your
local securities regulators can verify this for you. If this is the case, the insider should contact the issuer to have this rectified.
If a filing is due immediately, then the insider can file under the
Temporary Hardship Exemption.

Opening balance must be a numeric, whole number

No commas, dollar signs or fractional units

Selected account is logged in. Please attempt operation at a later time when the user is not logged in

The system detects you as being logged in. You may not have logged out during your last session or another user is currently logged-in and accessing the same Insider/Issuer profile you are trying to access.
 

You may wait 20 minutes and try logging on or contact the CSA Service Desk at 1-800-219-5381 for assistance.

Your remarks exceed the 255 character maximum.

Either shorten the message by rephrasing or try to incorporate references to information available elsewhere on the Internet (such as a document on SEDAR).

You must file a separate report if your actual holdings of the underlying securities change as a result of this transaction.

This message is letting the insider know if they are acquiring the underlying securities as a result of a transaction, for instance exercising options, they must file a separate report to record the acquisition of the underlying security.

You cannot modify the date the insider ceased to be an insider after 90

days from the date the amendment was made.

This message is informing the user that the “date the insider ceased to be an insider” cannot be amended or deleted after 90 days from the date the amendment was made that reported the insider had ceased to be an insider.

You cannot remove the ceased date where the insider has another active relationship with the issuer

This message is informing the user that a current relationship with the same issuer exists for the insider and the insider can only have one current relationship with an issuer at one time.
