Screen Displays – How to file an Exercise of Stock Options into Common shares with a Sale of Common Shares

Description |
The following example describes how to file insider reports in which the insider is exercising 500 stock options and selling the acquired common shares. The securities are held directly and initial opening balances are previously filed.

Preparation |
Begin filing the insider reports as described in How to File an Insider Report for Stock Options and How to File an Insider Report for Common Shares. Note that this is not an exhaustive procedure for filing these types of insider reports. Individual circumstances may vary. Only selected screens in the filing process, that are also the same for both insiders and agents, are displayed below. The insider reports are being filed in one SEDI session. |

Exercise of Stock Options |
Selected screens for the disposition of stock options follow. The same transaction code (code 51) is used for the disposition of stock options and acquisition of common shares. |

|
Select Security Designation |
Select Options (Common Shares) in the Outstanding securities list and click Next.

Select Ownership Type |
Select Direct Ownership as the Ownership type and click Next.

Enter Transaction Details |
Fill out the fields as shown and click Next.

A warning dialog box will open on screen to remind you that a second insider report is required for the corresponding acquisition of common shares. Click OK.

Final Review – File and Certify |
Confirm the transaction details are correct. Click Certify. SCREEN: File insider report – Final review
The Certification dialog box opens on screen. Click OK to certify and save your insider report on SEDI.

Acquisition of Common Shares |
Selected screens for the acquisition of common shares through the exercise of stock options follow. The same transaction code (code 51) is used for the disposition of stock options and acquisition of common shares. |

File Another Transaction |
You have completed the first report in this multi-step transaction. You will now be filing another transaction for the same issuer from the File insider report – Completed screen. Select Different Security and click Yes.

Select Security Designation |

Select Ownership Type |

File Another Transaction |
You have completed the second report in this multi-step transaction. You will now be filing another transaction for the same issuer from the File insider report – Completed screen. Select Same Security and Holder and click Yes.

Enter Transaction Details |
Since the insider report is for the same security and holder, you are taken directly to the File insider report – Enter transaction information screen. Fill out the fields as shown and click Next.

Confirm the transaction details are correct. Click Certify. SCREEN: File insider report – Final review
The Certification dialog box opens on screen. Click OK to certify and save your insider report on SEDI.
